Terms of Service

These terms are an agreement between you and MoNeel Ventures LLC ("dbMigrate", "we", "us"). They cover the dbMigrate desktop apps, the dbmt command-line tool, the dbmigrate.io website and your customer account. By downloading a trial, starting a trial or buying a subscription, you agree to these terms and to our Refund Policy.

1. Who can use dbMigrate

You can use dbMigrate as an individual or on behalf of a business. If you are an individual, you must be at least 18 years old. If you accept these terms for a business, you confirm you are allowed to do so, and "you" means that business.

2. Your license

  • Each purchase gives you a license key for one product (for example dbMigrate for PostgreSQL) for the term you bought.
  • Each seat lets you activate the product on the number of devices shown at purchase. You can free up a device from your account and use the seat on another device.
  • A license key works only in the product it was bought for. Buying more seats creates a new license key with its own term.
  • You may not share, resell, rent or transfer a license key, or try to get around license checks.

3. Free trials

  • Each computer can start one free trial per product. The trial length is shown when you start it.
  • When a trial ends, the product stops working until you enter a license key.

4. Subscriptions and automatic renewal

  • Subscriptions renew automatically at the end of each term, at the price and term shown when you bought, until you cancel. We send a reminder before each yearly or multi-year renewal.
  • You can cancel automatic renewal at any time from your account. Your license keeps working until the end of the term you paid for.
  • Monthly subscriptions can move to a yearly term, starting at the end of the current month. Yearly and multi-year subscriptions can choose their next term during the last 60 days of the current term, and can move to monthly only when the current term ends. A new term is charged when it starts.

5. Payments, taxes and failed payments

  • Payments are processed by Stripe. Prices are in US dollars and are charged upfront for the whole term. Taxes are added where required and shown at checkout.
  • If a renewal payment fails, your license keeps working for 7 days while we try again. After that the license is suspended until payment succeeds. If payment has not succeeded after 14 days, the subscription is cancelled and the license ends.
  • Promo codes apply only as described when you use them, and each code can be used once per customer.

6. Refunds

Refunds are covered by our Refund Policy, which is part of these terms. A full refund ends the license. If you open a payment dispute, the license is suspended until the dispute is resolved.

7. Acceptable use

Use dbMigrate only with databases you are authorized to access and in line with the law. Do not use it to access systems without permission, to break security controls, or to interfere with our services.

8. Your data

dbMigrate runs on your computer. Your database connections, saved credentials and data stay on your computer and are not sent to us. To manage licenses we store your email address, license keys, device identifiers and billing records. Our Privacy Policy explains this in more detail.

9. Your responsibility for your databases

dbMigrate previews changes and offers dry runs, warnings and rollback scripts, but it cannot remove every risk. You are responsible for reviewing changes before you apply them, for keeping backups, and for testing changes before using them on production systems.

10. Warranty disclaimer and limitation of liability

  • dbMigrate is provided "as is" and "as available", without warranties of any kind, to the fullest extent the law allows.
  • To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost data, profits or revenue. Our total liability for any claim is limited to the amount you paid us for the product in the 12 months before the claim.

11. Ending this agreement

You can stop using dbMigrate at any time. We may suspend or end your license if you break these terms or do not pay. Sections that by their nature should continue (such as 9, 10 and 13) continue after the agreement ends.

12. Changes to these terms

We may update these terms. Each version is numbered and dated, and we keep a record of the version you accepted. Important changes apply to renewals after we tell you about them. If you do not agree to a change, you can cancel before your next renewal.

13. Governing law and disputes

  • These terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules.
  • If you have a problem, please contact us first at [email protected]. We will try to resolve it informally within 30 days.
  • If we cannot resolve it, any dispute will be decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in Florida or online. Either of us may instead bring an individual claim in small-claims court.
  • Claims must be brought individually, not as part of a class or representative action.
  • The state and federal courts located in Pasco County, Florida, have exclusive jurisdiction to enforce an arbitration award, to grant urgent relief, and for any matter not subject to arbitration.
